  This Service Agreement is between ServerSitters, LLC and the client. A client is defined as anyone who uses any level of service through ServerSitters. This agreement may be updated at any time on http://serversitters.com/terms.html. Both the client and ServerSitters employees agree to to the following conditions and will be complacent with the terms as far as their party is concerned.

Both parties, the client and ServerSitters, agree to the terms as follows:

1. This agreement goes into effect upon the first payment received from the client to ServerSitters, LLC. After the initial payment, this agreement may not change unless agreed upon between the two parties in writing along with signatures from both parties.

2. ServerSitters shall always provide service to the client at the highest standards and with the client's best interest in mind. They agree to inform the client when their choice of service is not in their best interest.

3. ServerSitters accepts the responsibility of providing the client with the support listed under his or her support plan. They will fulfill every claim that is made in contract on the website through each plan.

4. Employees working along side with the client shall be bound to this agreement in order to receive services and make orders. If the client would like to specify otherwise, he or she can arrange that in writing only.

5. If either party begins to conduct their business under different terms such as filing bankruptcy or becoming insolvent, the other party holds the right to terminate service under terms of due cause. Outstanding invoices must still be paid, but there will be no new invoices generated.

6. In the event that an affiliate or company along side of either party takes an action that is considered breach of contract, the other party holds the right to take the necessary legal action.

7. Damage done to any goods provided by either party consequently or indirectly are not the result of the party receiving the damaged goods. They will not be held accountable for those items. Also, the total amount of liability ServerSitters may pay to a client cannot be greater than the client's monthly bill for service.

8. ServerSitters will bill the client on a monthly billing schedule. If client wishes to be billed differently, the client must make a request in writing.

9. In the unlikely event that an employee of ServerSitters or any other party removes the client's information from the system, the client will have back-up information stored in their own possession to get the client's information back in ServerSitters system as soon as possible.

10. Both parties retain the right to terminate service, but the client must pay the overdue invoices in order to be released from the billing system. No new invoices will be generated after termination of service unless there is breach in contract.

11. In the event of fire, natural disaster, riots, acts of war, acts of God, storms, earthquakes, strikes, or any other disaster not listed above, neither party shall be held responsible for delays in service.

12. If a client wishes to take legal action against ServerSitters, that action must be taken in the state of Virginia and under Virginia laws.

13. Each party shall keep the confidential information traded between companies strictly confidential, as previously agreed upon in the Privacy Policy of ServerSitters.

14. If either party agrees upon terms that become illegal or impossible to fulfill, then the party no longer is responsible for fulfilling those agreements but must remain faithful to the other parts of the agreed upon contract.

15. Under any breach of contract, the client will become liable for all court costs, attorney fees and other equitable remedies.

16. Late Payment - You will receive an overdue invoice Reminder when your invoice is 1, 2, and 5 days overdue. If payment isn't received by the 3rd day all services will be suspended unless other arrangements are made or your invoice is paid in full. Your services will be suspended using the following methods to ensure they can be easily activated upon payment.

Telephones - Your telephone number will be left active, however a recording will list that no technicians are available at this time.
Live Chats - All technicians will be removed from your department and live chat will be shown as unavailable.
Tickets - Our agents will be informed to discontinue support until further notice.

Additionally, there will be no server monitoring or Tier 2 services during an automatic suspension period.

Additionally, a $35.00 late fee will be assessed on your invoice.

This agreement is the final contract between both the client and ServerSitters, and has highest priority over all other agreements, unless there is written documentation of other terms agreed upon and signed by both parties.
